Job Summary:
Vice President, Corporate Affairs will use strong leadership and problem-solving skills to ensure execution of the strategic initiatives and operations of the Chief Legal Officer.
Essential Functions:
- Support the Chief Legal Officer (CLO) as to all corporate governance matters, including preparation for all board and committee meetings, ensure compliance with articles, charters, codes of regulations/bylaws, operating agreements, and other governing documents and oversee the accurate preparation and maintenance of minutes, resolutions and other evidence of board actions and deliberations
- Ensure the corporate structure is aligned to the business strategy and mission and in compliance with nonprofit governance
- Manage corporate filings and other maintenance requirements for corporate entities
- Partner with Legal, Tax, Treasury and Finance in-house and outside counsel regarding the formation, structure, and dissolution of all domestic corporate entities
- Member of in-house team addressing corporate merger, acquisition and/or other strategic growth activities
- Respond to inquiries from regulators and others relating to corporate structure and governance matters and ensure compliance with the Insurance Company System Holding Act
- Support the Government Relations (GR) and Advocacy teams to develop processes and systems to strategically support Business Development activities, to measure performance GR outcomes for existing and new markets and report on PAC activities
- Identify and help solve core problems or opportunities within business processes to ensure alignment, timely sharing of information and effective collaboration among the CLO executive team
- Provide support and oversight for special projects and initiatives
- Perform any other job duties as requested
Education and Experience:
- Bachelor’s Degree is required
- Juris Doctorate is preferred
- Minimum of five (5) years of senior management experience
- Minimum of ten (10) years of senior level strategic planning and strategy development experience is required
- Minimum of three (3) years of experience with Medicaid and other public health care programs is required

Licensure and Certification:
- Current unrestricted license to practice law is required
- Must be a member in good standing of a state bar
Working Conditions:
- General office environment; may be required to sit or stand for extended periods of time
Compensation range $150,000-$300,000. CareSource takes into consideration a combination of a candidate’s education, training, and experience as well as the position’s scope and complexity, the discretion and latitude required for the role, and other external and internal data when establishing a salary level. In addition to base compensation, you may qualify for a bonus tied to company and individual performance.
