About this role:Wells Fargo is seeking a highly skilled Lead Capital Markets Negotiator to manage complex trading and derivative legal agreements with a diverse range of counterparties. In this role, you will play a critical part in structuring, negotiating and overseeing legal documentation while ensuring compliance with regulatory and risk management standards. You will also lead strategic initiatives, collaborate with cross-functional teams, and provide key insights into industry trends.
In this role, you will:- Negotiate & Manage Legal Agreements: Prepare, negotiate, and track a variety of trading and derivative agreements, ensuring alignment with business objectives and regulatory requirements. Manage agreements with corporate, sponsor, commodities and municipal clients, institutional investors, financial dealers, and other complex counterparties. Negotiate complex and highly negotiated ISDAs for securitizations and other structured transactions.
- Review & Analyze Documentation: Conduct in-depth reviews of legal agreements, including but not limited to ISDA Master Agreements (including Schedules and Credit Support Annexes), NAESBs, bespoke physical commodities agreements, Account Control Agreements, Credit Agreements, Security Agreements (including Guarantees), Intercreditor Agreements, Legal Opinions, and underlying authority documentation.
- Implement Process & Policy Optimization: Lead and contribute to initiatives aimed at enhancing templates, streamlining processes, and upgrading systems to improve efficiency and risk management. Interpret policies and ensure compliance when collaborating with legal, credit, business, operations, and other teams internally.
- Execute Risk Mitigation & Compliance: Identify and assess legal and business risks, ensuring adherence to internal policies, the regulatory framework and industry standards.
- Enable Client & Stakeholder Engagement: Engage directly with counterparties to review and finalize deal terms. Foster relationships across internal teams and with external stakeholders to drive favorable outcomes.
- Foster Leadership & Collaboration: Provide strong leadership to the negotiation team by offering training, mentorship, and strategic guidance to enhance team capabilities and ensure successful execution of objectives. Influence decision-making at all levels, including acting as a trusted advisor to senior management, influencing decision-making through expert insights on legal, credit, operational and business considerations.
- Provide Strategic Guidance: Advise management of industry trends or issues based on recently negotiated transactions.
- Execute Technical Solutions: Champion continuous improvement initiatives, including evaluating and assisting in building end-to-end technical solutions to enhance operational efficiency. Serve as a subject matter expert in capital markets documentation, providing strategic insights to shape and refine technical enhancements. Demonstrate a strong openness to innovation by proactively identifying, assessing, and integrating innovative technologies and automation solutions that drive process improvements.
Required Qualifications:- 5+ years of Capital Markets Document Negotiation experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
Desired Qualifications:- 5+ years proven experience in negotiating and managing capital markets legal documentation.
- Strong understanding of derivatives transactions.
- Experience with financial and physical commodities.
- Expertise in regulatory compliance, risk mitigation, and financial industry best practices.
- Excellent analytical, problem-solving, and communication skills
- Ability to collaborate effectively with internal stakeholders, including legal, credit, risk, and business teams.
- Leadership experience with a history of mentoring and influencing individuals and teams.
- Proven experience in evaluating, designing, and enhancing end-to-end technical solutions to enhance operational efficiency.
Pay RangeReflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to achievements, skills, experience, or work location. The range listed is just one component of the compensation package offered to candidates.
$138,500.00 - $287,600.00
