We are seeking a proactive and detail-oriented Contract Specialist to join our team at Maag Americas. In this pivotal role, you will take the lead in overseeing the commercial contract review process, ensuring our organization effectively navigates the complexities of various agreements, including NDAs, Customer Framework Purchase Agreements, and Agent Representative Agreements. Collaborating with cross-functional teams and external legal counsel, you will play a critical role in safeguarding the company's interests and identifying potential risks. Your expertise will also extend to supporting finance and compliance initiatives within our sales function, making this a dynamic position ideal for someone who thrives in a fast-paced, collaborative environment. The position serves two primary functions. You will lead the commercial contract review process to ensure a clear understanding of risks and obligations in complex sales agreements. Collaborating with internal and external teams, you will seek legal counsel support as needed and maintain direct communication with the customer’s legal team. Additionally, you will work with the Sales Manager on equipment performance and reliability guarantees, emphasizing our commitment to exceptional service. The Contract Specialist will be vital in supporting finance and compliance initiatives for the Sales function at Maag U.S. locations. This role includes collaborating with Finance to establish letters of credit for bonds and issuing Certificates of Insurance for sales contracts. Additionally, the Specialist will lead the Foreign Corrupt Practices Act (FCPA) certification process for sales representative agents, reinforcing our commitment to ethical practices.

What You’ll Do
- Review of non-standard commercial contracts, providing feedback and recommendations to Sales, Finance, Compliance and other stakeholders to ensure alignment with business objectives while minimizing risk.
- Accountable for risk management and commercial business decisions for contracts with designated revenue thresholds and coordinates directly with Dover Legal for higher revenue threshold contracts.
- Leads commercial contract development, amendments, negotiation, and execution, as requested.
- Manages the renewal process of Sales Representative Agent agreements.
- Identifies contracts scheduled for renewal and liaises with Sales to execute the contract renewal process.
- Liaises with Dover Corporation risk management team to confirm and identify gaps in insurance coverage requirements in contracts and requests insurance certificates for customers when required.
- Assists Finance with obtaining Letters of Credit to support customer requirements.
- Manages Maag Americas due diligence requirements relating to the Foreign Corruption Practices Act certification process for Sales Representative Agent agreements.
- Conducts reviews with leadership team relating to contracts management performance and tracks key performance indicators upon request.
- Mentors/Guides work of Contract Review Specialist and Contract Administrator, as needed.
- Provides internal training to others with a fundamental understanding of contract management and best practices.
- Functions as a resource for issues relating to Intellectual Property (IP) and works cross functionally, as needed, to assist in resolving potential risks.
- Maintains contract documents according to records management process and ensures access without compromising confidentiality / privacy of information.
- Adheres to formalized processes relating to contract formation, contract administration, and contract monitoring.
- Evaluates existing contract management processes to identify and implement continuous improvement initiatives.
What You’ll Bring
- Bachelor’s degree in business administration, Law, or equivalent experience.
- Juris Doctorate or Paralegal experience is desirable.
- Membership in the National Contract Management Association (NCMA) is desirable.
- Certified Professional Contract Manager or Certified Federal Contract Manager is desirable.
- 3-5 years of experience in commercial contract review, sales terms and conditions, NDAs, and similar.
- Experience with international commercial contracts.
- Strong project management, analytical writing, and legal research skills.
- Experience in creating policy documents, manuals and the ability to develop and drive best practices in contract management is desirable
- Knowledge of the Foreign Corruption Practices Act (FCPA) requirements is preferred but not required.
- Strong customer interface skills.
- Excellent verbal and written communication skills.
- Highly organized with the ability to work in a fast-paced environment yet ensure that fundamental transactional discipline is always maintained.
- Creative, entrepreneurial, self-motivated, and success oriented.
- Adept at solving problems that span business and technology.
- Ability to communicate effectively at all levels, including concise verbal and written executive-level communications.
- Experience working in cross-cultural teams is considered a plus.

Pay Range: $71,157.00 - $86,254.00 annually
Bonus Eligible: This position is eligible to earn a discretionary bonus based on performance metrics and other criteria outlined in our applicable bonus plan.
