Join Caterpillar’s Contracts and Licensing team, where we shape the future of mining technology through strategic agreements and intellectual property management. We partner with global mining leaders to deliver cutting-edge solutions like MineStar and electrification initiatives. As a Contract Negotiation Manager, you will lead high-stakes negotiations with Caterpillar’s largest mining customers. This is a legal-focused position — you’ll negotiate the contract terms and conditions, not the financial / commercial terms. You will work closely with Caterpillar attorneys and Resource Industries teams worldwide. Your expertise will ensure that our agreements protect intellectual property, manage risk, and enable technology adoption at scale.
What You’ll Do
Negotiate and manage legal terms for commercial contracts involving MineStar Solutions and mining technology products.
Draft and finalize complex agreements, including Command for Hauling, technology licensing, and professional services contracts.
Collaborate cross-functionally with attorneys, product managers, NPI managers, sales leaders, technical experts, and operations teams to drive negotiations from inception to execution.
Apply deep legal knowledge to address licensing, intellectual property, data rights, liability limits, indemnities, and termination clauses.
Leverage established processes and templates while adapting to unique customer needs and evolving technology landscapes.

What skills you will have:
Industry Knowledge: Extensive experience in mining, construction, or legal contract negotiation. Experience working with legal contract terms and conditions, including drafting, reviewing, and interpreting complex agreements, is essential. Additionally, knowledge of mining technologies will make you a top candidate by enabling you to understand technical requirements and incorporate them into contractual obligations.
Effective Communications: Strong verbal and written skills; able to clearly explain contract terms, coordinate activities, and manage timelines.
Relationship Management: Experienced in navigating complex organizational structures; adept at balancing stakeholder concerns while protecting company interests.
Decision Making and Critical Thinking: Capable of analyzing risks and making informed, strategic decisions for mutually beneficial agreements.
Customer Focus: Committed to aligning contracts with customer needs while maintaining organizational standards.
Negotiating: Proficient in negotiation techniques; able to achieve favorable outcomes through collaborative discussions.
Business Development: Skilled in identifying growth opportunities and structuring contracts that support long-term partnerships.
Value Selling: Ability to communicate product and service value through tailored contractual solutions.
Top Candidates will also have:
Ph.D. in Law
Bachelor’s degree in Law or Engineering.
Proven expertise in intellectual property management.
Additional Information:
The primary work location for this role is either Tucson, AZ or Peoria, IL, with a requirement to work on-site full-time at a Caterpillar facility.
Domestic relocation assistance is available.
This position may require up to 20% travel.

Summary Pay Range:
$156,000.00 - $234,000.00
Compensation and benefits offered may vary depending on multiple individualized factors, job level, market location, job-related knowledge, skills, individual performance and experience. Please note that salary is only one component of total compensation at Caterpillar.
