The Role
The Transactional Counsel will play a pivotal role in delivering legal support in connection with the acquisition by Andersen of numerous other professional services firms, located both in the U.S. and many foreign jurisdictions. The role will involve coordination with Andersen’s internal legal team, Andersen’s outside counsel, and various Andersen businesspeople, as well as opposing counsel representing the firms to be acquired. The Transactional Counsel will be involved in all aspects of these acquisition transactions, including:
- Initial outreach to the firms being acquired.
- Nondisclosure agreements.
- Due diligence activities.
- Drafting and negotiating legal documentation, including term sheets, acquisition agreements, and related ancillary agreements.
- Maintaining and updating deal checklists.
- Analyzing issues that arise during negotiations and assisting in finding practical solutions while minimizing risk to Andersen.
- Coordinating activities regarding the closing of the transactions.
- Managing post-closing requirements and activities.
- Assisting with various legal issues in connection with the integration of the acquired firms into Andersen operations.
The Transactional Counsel will report directly to the Managing Director at Andersen who is the lead in-house lawyer in connection with the acquisitions.
We are seeking a Counsel to support Andersen’s Legal and Risk Management team, with a primary focus on contract review, drafting, and negotiation. This role will work closely with internal stakeholders to review vendor and technology agreements, draft legal documents (including conflict waivers), and support client engagement materials.
The position is heavily focused on high-volume contract review and providing practical, timely legal support across the business in a fast-paced environment. The role will support the legal and risk management functions within the firm.
The Requirements
- J.D. from an accredited law school with admission in good standing to at least one state bar.
- Minimum of 3 years of legal practice, with experience in corporate transactions (mergers & acquisitions or private equity).
- Commitment to high ethical standards and professional integrity.
- Strong desire to be part of a team-oriented culture in a growing company.
- Business experience acquired prior to law school is preferred but not required.
- Proven track record as an analytical and proactive professional, demonstrating excellent critical thinking and problem-solving abilities.
- Ability to effectively prioritize tasks, manage fluctuating workloads, and meet tight deadlines in a dynamic environment.
- Exceptional written and verbal communication abilities, complemented by strong interpersonal skills that promote collaboration and drive results.
- Demonstrated leadership skills and exceptional organizational capabilities.
- Competence in relevant technology, including MS Word and Excel.
- Experience in a professional services environment or at a large law firm is highly desirable.
Compensation and Benefits
Our firm offers a competitive base salary and comprehensive benefits package designed to support the well-being, growth, and long-term success of our people. Salary Range: The expected salary range for this role is $200,000– $225,000. Actual compensation will be determined based on the candidate’s qualifications, experience, and skill set.
