In the role, as a member of our in-house legal team, you will be a key partner to our business development and project teams. You will be responsible for handling a wide range of entry-level contracts and legal tasks, including administrative and executive support-related tasks. You will review, negotiate, and maintain agreements, records, and litigation/claim reports and should be capable of recognizing potential problems and addressing them.
You will have the opportunity to specialize in areas of interest, including but not limited to international law, government contracting, FAR/DFAR, ITAR/EAR, and entity creation and management.
Job Responsibilities:
- Draft, review, revise, and negotiate Customer Agreements, which include service, conceptual design, design, architecture, engineering, design-build, construction management, and construction management at risk agreements
- Draft, review, revise, and negotiate a variety of other contracts including Non-Disclosure Agreements, Teaming Agreements, and Subcontracts
- Research and stay up to date with changes to legislation, laws, statutes, rules, and regulations affecting the corporate and construction industry
- Maintain corporate records, including officers' and directors’ lists
- Maintain a litigation/claims status report, including any due dates for action items
- Maintain ITAR/EAR documentation and registration
- Maintain corporate seals as necessary
- Assist with responses to Subpoenas and other outside legal requests
- Assist with compiling data and information necessary to maintain company licenses
- High level of coordination for setting priorities, complex tasks, and adhering to strict deadlines
- Responsible for compiling data and/or performing research for reports and materials for publications and presentations for executives and/or company
- Read and analyze incoming notices, memos, and reports to determine the significance and distribution
- Set up and coordinate meetings and high-level conference calls and develop agendas as needed
- May be responsible for independent projects in addition to routine support duties, as necessary
- May need to travel, including for various assignments and negotiations
Education/Experience:
- Juris Doctorate required
- Licensed or in process of applying and taking the bar within the year
- 3 to 5 years of experience preferred
Specific Knowledge, Skills, License, Certifications:
- Knowledge of contractual and legal concepts
- Familiarity and knowledge of AIA and DBIA contracts
- Experience or familiarity with the construction industry and terminology
- Understanding of commercial and corporate law
- Excellent negotiating and drafting skills
- Excellent interpersonal skills
- Proficient in Microsoft Office programs and redlining in Microsoft Word
- Ability to work with all levels of management and maintain strong professional relationships
- Excellent organizational skills and attention to detail
- Keep confidential information
- Communicate effectively verbally and in writing
- Knowledge of the federal and commercial contracting regulations (not required but a plus)
- Provide, as well as carry out, detailed verbal and written instructions independently
- Collaborate with others to accomplish organizational goals; identify and resolve problems
- Use logical or rational thinking to solve problems; make decisions based on personal judgment
- Perform mathematical calculations (fractions, decimals, percentages, statistical) as needed

Environmental Factors and/or Physical Requirements:
While performing the duties of this job, this position is required to have ordinary ambulatory skills sufficient to visit other locations; and the ability to stand, walk, stoop, kneel, crouch, and manipulate (lift, carry, move) light to medium weights of 10-50 pounds. Requires good hand-eye coordination, and arm, hand and finger dexterity, including the ability to grasp, and visual acuity to use a keyboard, operate equipment and read application/form information. The associate frequently is required to sit, reach with hands and arms, talk, and hear.
