ABOUT THE ROLE
Provide support to Bollore Logistics Korea Ltd. with focus on Corporate Governance, Contract review, Legal Disputes and Insurance. To be a Business Partner for the Management team, e.g. assist with the company’s strategic direction. To also conduct periodical training and awareness sessions with the relevant internal stakeholders on legal and insurance topics.
WHAT YOU WILL BE DOING
Legal
In cooperation with the Sub-region Legal Counsel and with the assistance of external counsels if required, lead the Legal Department in Bollore Logistics Korea Ltd. for all legal matters, in the following areas:
1) Corporate governance: Handling of corporate secretarial duties, by coordinating with finance managers, external corporate secretary or law firms.
2) Contract review & filing: Reviewing, negotiating, drafting commercial contracts and filing contract with contract inventory management.
3) Legal disputes: Handle all litigation and claims involving law firms and recovery agents.
4) General legal advice: Identifying, evaluating and managing legal risks in business decisions and operations by keeping abreast of relevant regulations. Giving timely legal advice as requested by the BUs.
5) Training: To equip the Business Units with basic legal knowledge, and to explain the processes, considerations and the rationale in accordance with the Group business rules.
Compliance
In line with the CEVA Compliance Program and local regulatory requirements, responsible for the implementation of compliance-related policies and procedures in the following areas:
1) Global Trade Compliance
a. Ensure due diligence process is completed for critical vendors.
b. Review codes of conduct commitments, compliance questionaires, clauses.
c. Assist internal stakeholders to clear shipments in compliance
2) Regulatory Compliance
a. Ensure the application of the anticorruption policies and processes.
b. Act as Data Privacy Officer to implement the internal procedures.
c. Support the Anti-trust / Competition program
3) Governance
a. Support local Compliance investigations.
b. Organize monthly committees and support the implementation of the GHO training plan.
c. Ensure the conflict of interest policy.
d. Support the compliance risk mapping exercise and follow-up actions.
Insurance
In cooperation with the Regional Insurance and Claims Officer, oversee the following insurance-related matters:
1) Claims handling, analysis, and any other advisories as and when required.
2) Advise BUs on insurance-related matters
3) Renewal and evaluation of local insurance policies
4) Assist in the development of the sale of marine cargo insurance
5) Manage uninsured claims in collaboration with the involved internal stakeholders
Requirements
- 12 month fixed-term contract
- More than 3 years of experience as in-house legal counsel
- General knowledge in corporate governance, contract review, insurance and litigation
- Ability to work independently, with integrity and responsibility
- Multi tasking and organizing skills, ability to manage stakeholders and deadline
- Excellent oral, written and presentation skills in English
