Job Summary:
The Associate General Counsel II is responsible for assisting the SVP, General Counsel, Deputy General Counsel and/or Senior Counsel in all functions of the Legal Department as may be requested. Further, an Associate General Counsel II will support a specified market, department, legal function, and/or CareSource affiliate/subsidiary.
Essential Functions:
- Provide advice and guidance to market and clinical business units on regulatory and industry developments, including the proactive identification and assessment of regulatory risks and the ongoing monitoring and tracking of relevant regulatory updates.
- Responsible for a market-based health plan, department or CareSource affiliate/subsidiary
- Interact with management team as well as with external representatives of the legal system, regulatory agencies, governmental entities and others
- Support and manage litigation
- Perform any other job-related instructions as requested
ROLE SPECIFIC FUNCTIONS:
- Structuring and negotiating corporate transactions such as acquisitions, affiliations, joint ventures and mergers, including associated diligence activities, contractual drafting and supervision of outside counsel.
- Structuring and negotiating credit agreements and other lending, investment and financial transactions, including contractual drafting, diligence and supervising outside counsel.
- Draft and negotiate strategic managed care agreements, inter-company management and administrative services agreements and reinsurance agreements.
- Provide advice and guidance to market and functional business areas regarding integration and implementation activities associated with strategic transactions.
- Work collaboratively with Accounting, Finance, Treasury, Tax, Business Development and other areas regarding organizational structure, new entity formation and funding, regulatory requirements and filings, and other related legal considerations.
- Provide advice and guidance to ensure appropriate protection of CareSource intellectual property including trademarks, copyrights and patents. Supervise outside counsel as needed.
- Other duties as assigned by the Deputy General Counsel or General Counsel.
Education and Experience:
- Juris Doctor degree from an accredited college/university is required.
- Five (5) years of legal, regulatory, or compliance experience is required, seven (7) years of experience is preferred. Law firm or in-house corporate environment experience in strategic transactions (e.g., mergers, acquisitions and joint ventures) is also preferred.
- Experience in healthcare and/or managed care law, in particular government programs, and insurance holding company regulatory requirements is preferred.

- General office environment; may be required to sit or stand for extended periods of time
Compensation Range:
$130,300.00 - $228,100.00
