Job Overview & Responsibilities
The Associate General Counsel works closely with the supplier management, production operations, and launch operations teams to develop policies, practices, and guidelines concerning compliance with state, federal, and international laws and regulations and for negotiating, interpreting, and supporting commercial contracts in the company’s supply base. The Associate General Counsel will also be expected to advise clients, interpret laws, rulings and regulations, analyze probable outcomes based on legal precedents. Develop strategies and evaluates findings based on legal research. Be responsible for researching and gathering evidence, having a thorough knowledge of the decisions, ordinances and statutes of the matter under review, prepares and drafts documents, legal briefs and opinions. May also take part in negotiation, interpretation of the law and act as an agent for the client.
This position is responsible for:
- Advising ULA business teams on all facets of legal and compliance risk.
- Managing legal issues and helping negotiate commercial contracts; including hardware supply and software procurement contracts and providing legal advice to ensure proper management of subcontractors and suppliers.
- Providing guidance on intellectual property, including data rights, licensing, patent and trademark, along with the ability to help shape legal and business strategy for the protection of intellectual property.
- Advising on general corporate compliance, regulatory, statutory, and legislative affairs and communications as may affect assigned programs or the company at large.
- Conducting legal research, prepare memoranda, complete presentations and advise in-house clients on risk mitigation and other decision-making requirements.
- Preparing and implementing corporate policies.
- Handling facilities matters, including leasing, capital construction, environmental, health and safety compliance and liability and risk management issues for manufacturing and launch operation activities.
- Possessing a working knowledge of risk management matters, including insurance requirements and liability and indemnity provisions in contracts.
- Providing guidance on US Government regulations including the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), and guidance on sanctions that may affect ULA business as implemented by the Office of Foreign Assets Control (OFAC), and other relevant trade laws and regulations, as applicable.
- Effectively managing and supervising outside legal counsel; form teaming arrangements with outside counsel to ensure effective representation and maximize outcomes.
- Providing advice and counsel on relevant U.S. Government and international laws.

Required Years of Experience
Minimum of 6 years of related work experience
Basic Qualifications
- Juris Doctorate degree from an accredited law school.
- Admission to the Florida Bar or the ability to obtain admission.
- Ability to adapt and support new and complex legal matters in multiple legal disciplines.
- Ability to be self-motivated and proactively identify legal issues and provide advisement to business clients using a solution-oriented approach.
- Strong communications skills to interface and effectively communicate legal advice to internal clients, senior leadership, and company owners.
Preferred Qualifications
- Previous legal experience in aerospace.
- Previous legal experience working for a government contractor.
- Previous in-house or corporate law department experience.
- Ability to obtain and maintain a DoD security clearance is preferred. US citizenship is required.
- Ability to demonstrate leadership on key projects and provide direction to business and technical functional organizations.
- Excellent judgment, attention to detail and discretion in handling sensitive and confidential information.
- Experience in US Government prime contracts (FAR Part 12 and 15) and subcontracts, including but not limited to drafting, negotiating and interpreting complex contracts.
