The
Corporate Counsel, I provides legal support to Zebra in several practice areas, including securities disclosures; corporate governance; mergers and acquisitions (M&A), venture investments, and capital markets; executive compensation; and other areas as required.
The Corporate Counsel must exhibit the following skills:

Responsibilities:
- Securities Disclosures
- Drafts and provides counsel on securities disclosures, including Annual Reports on Forms 10-K; Quarterly Reports on Forms 10-Q; Current Reports on Forms 8-K; and Section 16-related reports on Forms 3, 4 and 5.
- Drafts and provides counsel on proxy statements and materials related to annual stockholder meetings.
- Provides advice and counsel on earnings releases and investor presentations.
- Assists in the preparation of ESG disclosures and related reporting.
- Corporate Governance
- Provides corporate secretarial support for meetings of the Board of Directors and of its Committees, including drafting meeting materials (memos, presentations, and resolutions) and conducting research regarding relevant topics.
- Provides advice and counsel on corporate governance, investor relations, and other public company matters, including Delaware corporate law; corporate charter and by-laws; U.S. Securities and Exchange Commission (SEC) rules and regulations; NASDAQ listing standards; independence and related party transaction matters; Zebra’s stockholder engagement program; corporate governance guidelines; and the Board’s Committees’ charters and practices.
- Ensures compliance with governance-related rules and regulations, including Zebra’s insider trading policy, insiders/blackout lists, and stock ownership guidelines.
- Monitors corporate governance trends, proxy advisor voting guidelines and large investor voting policies, and regulatory and legislative developments.
- Provides advice and counsel regarding entity/subsidiary management and corporate recordkeeping.
- M&A, Venture Investments, and Capital Markets
- Manages and supports critical corporate transactions, including mergers and acquisitions; venture investments; financing arrangements; and securities offerings.
- Manages and supports for due diligence activities related to corporate transactions.
- Executive Compensation – Provides advice and counsel on executive compensation matters, including equity and incentive plans.
- Other Corporate Matters – Drafts and reviews commercial contracts of varying complexity, including non-disclosure agreements (NDAs); sales contracts; and procurement contracts.
- Frequent independent contact with all levels of team members across Zebra, including: the Executive Leadership Team; colleagues in the Legal Department; Accounting; Finance; Internal Audit; People Team/Human Resources; Strategy; and Tax.
Must be able to work hybrid schedule (3 days in office/2 remote) from Lincolnshire, IL.

Qualifications:
Minimum Qualifications:
- J.D. from an accredited law school. During employment, must meet requirements for continuing licensure for law practice
- 8+ years of legal experience, candidates with 5+ years of securities, corporate governance, and/or compliance experience will be considered

- Excellent analytical skills and attention to detail
- Very strong communication (verbal and written) and interpersonal skills
- Strong project management skills
- Able to work collaboratively within and across Zebra’s departments and business units (including senior leadership), and with outside counsel
- Familiarity with: Microsoft Office 365 suite (including Excel and PowerPoint); document management platforms (e.g., iManage); board portal platforms (e.g., Diligent Boards); and entity/subsidiary management platforms (e.g., GEMS)

Salary: USD 120400.00 - USD 180600.00 Yearly
Salary offered will vary depending on your location, job-related skills, knowledge, and experience.
Additionally, all Zebra roles are eligible for cash incentive programs. For example, sales roles have additional opportunity to earn substantial variable compensation tied to quota achievement. In most other roles, the Zebra annual cash incentive program links Company and individual performance together. Some roles may also be eligible for long-term incentive equity awards.
