Drive the execution of FSL transactions (term and warehouse finance, repos, syndication and securitizations, etc.) by: Managing legal and documentation issues that arise in connection with FSL transactions Advising on structure of lending transactions, taking into account legal, franchise, regulatory, tax and other considerations Identify, evaluate, and mitigate legal risks associated with collateral assets, lien perfection, and enforceability of security interests. Working closely with external counsel to prepare transaction documentation (repos, credit agreements, security agreements, servicing agreements, indentures, offering memorandums, NPAs, etc.) Drafting, reviewing and negotiating term sheets, engagement letters and NDAs Working closely with internal counsel to manage legal risks for FSL transactions Leading documentation negotiations with clients Liaising with various internal functions to facilitate funding of loans and settlement of transfers Working with securitization/syndication teams to facilitate exit Preparing material for and presenting to internal committees, FSL senior management, internal audit and regulators Maintaining documentation precedents and templates Maintaining best practices and internal policies and procedures 8+ years of experience in lending, corporate and/or capital markets experience at a major law firm or a large financial institution Great familiarity with structured finance and secured lending transactions Commercially driven Excellent verbal and written skills and ability to communicate with senior management and clients Ability to build effective working relationships and interact confidently with senior management and cross-functional teams. Proven leadership ability to manage and deliver on multiple projects under time pressure Sound judgment, and organizational skills, with the ability to manage competing priorities in a dynamic environment. Expected base pay rates for the role will be between $160,000 and $250,000 per year at the commencement of employment for Vice President, and between $225,000 and $300,000 per year at the commencement of employment for Executive Director.
