Boeing is seeking a Corporate Governance Paralegal to join the Law Department within the Enterprise Finance & Corporate Governance practice group. This position will support the management and maintenance of Boeing legal entities around the globe, including subsidiaries, branch and representative offices, as well as functional and jurisdictional registrations and licenses. From time to time, the position may also assist with annual shareholders meeting, proxy statement, mergers and acquisitions, and sustainability as well as with other matters related to corporate governance for Boeing. The team is open to both Mid-Level or Senior Paralegals to join their team.
The Paralegal will perform their work under the supervision of lawyers within the Boeing Law Department and will have significant discretion and autonomy in performing day-to-day tasks.
The Paralegal will also be expected to closely and effectively collaborate and coordinate with stakeholders inside and outside the Company, including Boeing’s business and finance leaders around the globe and outside counsel, and he/she must be skilled at managing a large, complex, and global portfolio of projects. This position can be located in Seattle, WA; or Chicago, IL.
Position Responsibilities:
Subsidiary Governance – maintenance of books and records, preparing meeting materials, conducting board/shareholder meetings and coordinating necessary filings, as well as decisions of the company such as dividends, loans, share capital reductions.
Compliance – maintain statutory compliance / good standing of subsidiaries, branches and representative offices.
Entity formation/dissolution/restructuring or simplification
Communication with stakeholders/providers – communication on behalf of the Company with internal and external stakeholders such as functions, business partners or local/governmental agencies/ministries/departments.
Drafting/review/research - Preparing company resolutions, powers of attorney / review and amendment of constitutional documents (AoA / MoA)
Providing support on ad hoc company secretarial, corporate and regulatory matters.
Reviewing and improving processes
Other projects as may be required from time to time by Corporate Secretary Office attorneys, including work related to proxy statement, annual shareholders meeting, mergers and acquisitions and sustainability
Basic Qualifications (Required Skills/Experience):
3+ years of experience in either a law firm, corporate law department, or government legal setting
5+ years of experience working with Microsoft Office Applications
Preferred Qualifications (Desired Skills/Experience):
Ability to prioritize and perform multiple tasks while maintaining quality, speed and accuracy.
Ability to work under pressure.
Ability to work independently, as well as to work as a part of the wider legal team.
Detail-oriented with exceptional organizational skills.
Excellent judgment and decision-making skills.
Experience of working in a fast-paced environment.
Superb communication at all levels of interaction with internal and external stakeholders, including coordination with colleagues and clients in multiple time zones.
The ideal candidate will have 3+ years as a corporate governance paralegal, ideally with a corporate background or within a law firm providing such services to a corporate entity.

Pay is based upon candidate experience and qualifications, as well as market and business considerations.
Summary pay range Mid-Level: $100,300-$135,700
Summary pay range Senior: $114,750-$155,250
