About the Role
Reporting to the General Counsel, you will be empowered to bring an innovative approach to solving complex matters critical to the company’s success. This role serves as a strategic advisor to executive leadership and the Board, ensuring strong governance, disciplined transaction execution, and a robust compliance framework that enables business growth while protecting the company. You will lead a global, cross-functional organization that integrates governance, legal execution, and compliance risk management into a cohesive, business-aligned function.
About You
Accountability: You will be a key partner to the General Counsel, advising executive leadership and the Board on corporate governance, public company securities compliance, strategic transactions, and enterprise compliance. You will support Board and committee processes, lead legal execution for M&A and other strategic initiatives, and oversee the company’s compliance and ethics program, including data privacy governance, risk assessment, policies, training, reporting channels, investigations oversight, and continuous improvement.
Collaboration: You build trusted, practical partnerships across the enterprise and are comfortable working with diverse stakeholders and viewpoints. Whether you are presenting to the Board, coordinating with Investor Relations and Finance on disclosures, partnering with business leaders on an M&A transaction, or aligning with HR, Internal Audit, and Security on compliance matters and investigations, you bring a calm, solutions-oriented approach and communicate clearly with credibility.
Adaptability: You thrive in a dynamic environment and can shift seamlessly between longer-horizon governance and program work and time-sensitive matters such as disclosure deadlines, deal execution, and emerging compliance issues. You exercise strong judgment, stay organized under pressure, and remain professional and polished when advising senior leaders and when navigating complex, cross-border issues.
Employee Champion: You are an experienced people leader who develops attorneys and paralegals and can lead through influence in a matrixed organization. You set clear expectations, delegate effectively, and ensure high-quality execution across corporate secretary, transactions, and compliance workstreams. You also coordinate and manage outside counsel efficiently, including scoping, supervising work product, and managing costs.
Key Responsibilities:
- Strategic Advisor & Corporate Governance Leader: Serve as a trusted advisor and business partner to executive leadership, with enterprise-wide responsibility for corporate, securities, governance, and compliance legal matters for a NYSE-listed global organization.
- Legal Leadership Team Contribution: As a key member of the General Counsel’s leadership team, help shape function strategy, align enterprise priorities, and drive the effective delivery of legal and compliance services.
- Board & Committee Support: Lead governance support for the Board of Directors and its committees, including preparation of materials, resolutions, minutes, charters, and adherence to evolving governance best practices.
- Public Company Compliance: Oversee compliance with SEC and NYSE requirements, including periodic filings, proxy statements, Section 16 reporting, and maintenance of robust disclosure controls in alignment with Regulation FD.
- Enterprise Compliance & Ethics: Serve as Chief Compliance Officer, leading a comprehensive global ethics and compliance program encompassing data privacy governance, risk assessments, policy development, training, monitoring, reporting, and continuous enhancement.
- Investigations & Remediation: Oversee the ethics helpline and internal investigations process, ensuring timely, consistent resolution and appropriate remediation in collaboration with Legal, HR, Internal Audit, Security, and business leadership.
- Regulatory & Risk Oversight: Direct compliance due diligence and advise on anti-corruption, sanctions, export controls, and trade compliance frameworks; coordinate responses to regulatory inquiries, audits, and disclosures.
- Strategic Transactions: Partner with senior business leaders on complex strategic initiatives, including M&A, joint ventures, and other significant corporate and commercial transactions.
- Capital Markets & Finance Support: Provide legal oversight for capital markets and corporate finance activities, including securities offerings, debt instruments, credit facilities, and related disclosures.
- Executive Compensation & Governance: Advise on executive and equity compensation programs, ensuring alignment with regulatory requirements, governance standards, and disclosure obligations.
- Investor & Disclosure Advisory: Support investor communications and disclosure strategy, including earnings materials, shareholder engagement, and monitoring of regulatory and governance developments.
- Global Subsidiary Governance: Provide oversight and guidance on domestic and international subsidiary structures, governance frameworks, and management practices.
- Team Leadership & Operational Excellence: Lead, develop, and mentor the corporate and compliance legal team while managing external counsel, optimizing resource allocation, and driving process improvement and cost discipline.
- Additional Responsibilities: Support the General Counsel in executing strategic priorities and addressing emerging legal and compliance matters as required.
Basic Qualifications:
Education & Experience:
- Juris Doctor (JD) from an accredited law school and active admission to at least one U.S. State Bar.
- 12+ years of progressive legal experience, including significant tenure within a leading law firm and/or a publicly traded company.
- Demonstrated expertise in public company governance, securities law, Board and committee support, strategic transactions, and enterprise compliance programs.
- Deep knowledge of SEC reporting requirements, NYSE listing standards, and evolving corporate governance best practices.
- Experience advising on complex corporate transactions, including M&A, joint ventures, and cross-border initiatives, strongly preferred.
Legal Leadership & Functional Expertise:
- Proven experience leading or supporting global ethics and compliance programs, including anti-corruption, third-party risk management, internal investigations, international trade compliance, and data privacy.
- Strong business acumen and ability to translate complex legal and regulatory matters into practical, risk-balanced guidance for senior leadership.
- Excellent judgment and executive presence, with the ability to influence and advise executive teams and Boards of Directors on high-impact legal and compliance issues.
- Exceptional written, verbal, and interpersonal communication skills, with a demonstrated ability to engage effectively across diverse stakeholder groups.
- Track record of leading, developing, and retaining high-performing teams, while effectively managing outside counsel and optimizing legal spend.
- Results-oriented and collaborative leadership style, with a focus on driving accountability, process improvement, and operational excellence.
- Ability to operate effectively in a fast-paced, global, and highly regulated environment, managing competing priorities with sound decision-making.

- Willingness to travel domestically and internationally as needed.
- Successful completion of background check requirements.
- Ability to obtain and maintain security clearance, as applicable.
