Morgan Stanley & Co. LLC seeks an Associate, Banking in New York, New York
Advise power, utility and renewable energy clients on complex financial transactions including acquisitions, divestitures, mergers, joint ventures, corporate restructurings, shareholder relations, recapitalizations, demergers, leveraged buyouts, defenses against unsolicited takeover attempts, strategic advisory assignments and executions of public, and private capital markets transactions. Conduct financial, strategic business and industry analysis. Build financial models to illustrate projected financial results. Leverage client relationships to advise European clients on expanding their businesses in the U.S., and U.S. clients on expanding their businesses in Europe.
Salary: Expected base pay rates for the role will be between $225,000 and $225,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
Requirements:
Requires a Master’s degree in Finance, Business Administration, Business Analytics or a related field and three (3) years of experience in the position offered or three (3) years as an Associate, Business Analyst or a related role. Requires one (1) years of experience with: Buy side and sell side M&A transactions; equity transactions including private capital raises, IPOs, follow-ons and block trades; public and private debt financing transactions including leveraged finance, dividend recapitalizations and investment-grade financing structures; preparing financial models with operating drivers across financial statements, confidential information memorandums, management presentations, lender presentations and rating agency presentations; coordinating with advisors to perform business, financial, tax and legal due-diligence; preparing documentation for investment banking procedures including capital commitment committees, fairness committees and valuation committees; drafting and reviewing legal documentation including merger agreements, non-disclosure agreements, indemnity agreements and engagement letters; generating ideas and exploiting trends in industry, product development, competitive dynamic and regulatory framework evolution; presenting strategic and financial analysis to senior executives.
